1. Introduction and Acceptance

MRO Parts Source ("Company," "we," "us," or "our") is a global independent distributor of branded industrial MRO (Maintenance, Repair, and Operations) spare parts and components. We specialize in sourcing factory-sealed replacement parts by exact manufacturer part numbers for industrial automation applications.

By submitting a quotation request, placing an order, or otherwise engaging with us through the Website, you ("User," "you," or "Customer") confirm that you are acting on behalf of a business entity and that your use of the Website is for commercial purposes. These Terms constitute a legally binding agreement between you and the Company.

2. Definitions

  • "Company" refers to MRO Parts Source, its operators, and authorized representatives.
  • "Website" refers to mropartssource.com and all associated subdomains.
  • "Products" refers to industrial MRO spare parts, components, sensors, and related equipment offered through the Website.
  • "User" or "Customer" refers to any individual or entity that accesses the Website or requests a quotation.
  • "Order" refers to a confirmed purchase request for Products issued by the Customer and accepted by the Company.
  • "Quotation" refers to a formal price quote issued by the Company in response to a Customer inquiry.
  • "Part Number" refers to the manufacturer's unique identification number for a specific Product.

3. Use of Website

The Website is a B2B platform designed for business-to-business commercial transactions. It is intended solely for use by purchasing professionals, procurement officers, and authorized representatives of business entities seeking industrial MRO spare parts. Use of the Website for personal, non-commercial, or consumer purposes is not permitted.

You agree to use the Website only for lawful purposes and in a manner that does not infringe the rights of, or restrict the use and enjoyment of, the Website by any third party. Prohibited activities include, but are not limited to, unauthorized scraping of product data, attempting to gain unauthorized access to systems, and using the Website to transmit malicious code.

4. Quotations and Pricing

All Products listed on the Website are available through a quotation-based purchasing model. Prices are not displayed publicly and must be obtained by submitting a quotation request with the specific manufacturer part number(s) required.

Quotations issued by the Company are valid for the period stated on the quotation document, typically 7 calendar days from the date of issue, unless otherwise specified. Prices are subject to change based on currency exchange rates, manufacturer price adjustments, and availability. The final price for any Order is the price confirmed in the formal quotation accepted by the Customer.

5. Orders and Acceptance

An Order is formed when the Customer issues a purchase order referencing a valid Quotation, and the Company confirms acceptance in writing (via email or other written communication). The Company reserves the right to decline any Order at its sole discretion, including but not limited to cases where the requested Products are unavailable, the Customer's credit is insufficient, or the Order does not meet minimum order requirements.

Lead times stated in Quotations are estimates based on current stock and supplier availability. The Company is not liable for delays caused by factors beyond its reasonable control, including but not limited to manufacturer production delays, customs inspections, force majeure events, or transportation disruptions.

6. Payment Terms

Payment terms for each Order are specified in the Quotation. Unless otherwise agreed in writing, the following default terms apply:

  • Advance Payment: For first-time Customers and Orders below a specified threshold, 100% advance payment by wire transfer (T/T) is required before shipment.
  • Established Accounts: For Customers with established credit, payment terms of 30% deposit with balance before shipment may be offered at the Company's discretion.
  • Accepted Methods: Bank wire transfer (T/T), and other methods as agreed. The Company does not accept credit card payments for B2B Orders.

All payments must be made in the currency specified on the Quotation. Any bank charges or fees associated with the payment are the responsibility of the Customer. Title to Products passes to the Customer upon full receipt of payment.

7. Return and Refund Policy

IMPORTANT — READ CAREFULLY: Due to the specialized nature of industrial MRO spare parts, all sales are final. The following Return and Refund Policy applies to all Orders.

No Returns or Refunds. All Products sold by MRO Parts Source are non-returnable and non-refundable. This policy exists because MRO industrial spare parts are procured by exact manufacturer part numbers to meet specific industrial automation requirements. Once an Order is confirmed and Products are sourced from the manufacturer or authorized distributor, they cannot be restocked or resold to other Customers.

Verification Before Ordering. Customers are solely responsible for verifying the correct part number, model, and compatibility of Products before placing an Order. The Company strongly recommends cross-referencing part numbers with original equipment manufacturer (OEM) catalogs, technical manuals, or equipment nameplates prior to ordering.

Quality Assurance Exception. The sole exception to this policy applies in the case of Products that arrive with a verified original manufacturer defect. In such cases, the Customer must notify the Company in writing within seven (7) calendar days of receiving the Products, providing photographic evidence and a detailed description of the defect. Upon verification and approval by the Company, a replacement of the same part number may be arranged at no additional cost. This exception does not cover damage caused by improper installation, misuse, unauthorized modification, or failure to follow manufacturer specifications.

Incorrect Part Number Orders. If a Customer orders an incorrect part number, the Company is not obligated to accept a return or exchange. The Company may, at its sole discretion, assist in sourcing the correct part as a new Order. Customers are encouraged to utilize the Company's sourcing expertise before confirming an Order to ensure part number accuracy.

Warranty Claims. Product warranties, if any, are provided by the original manufacturer and are subject to the manufacturer's warranty terms. The Company facilitates warranty communication but is not the warranty provider. Warranty claims must be processed through the manufacturer's authorized channels.

8. Limitation of Liability

To the maximum extent permitted by applicable law, the Company's total liability arising out of or relating to any Order shall not exceed the total amount paid by the Customer for the specific Products that are the subject of the claim. The Company shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, loss of production, downtime costs, or damage to equipment resulting from the use or inability to use Products.

The Company acts as an independent distributor and does not manufacture the Products it sells. Product specifications, performance, and suitability for specific applications are the responsibility of the original manufacturer. The Company makes no warranties, express or implied, regarding product performance beyond what is stated by the manufacturer.

9. Intellectual Property

All content on the Website, including but not limited to text, graphics, logos, product images, technical drawings, datasheets, software, and the overall look and feel of the Website, is the property of MRO Parts Source or its content suppliers and is protected by international copyright, trademark, and other intellectual property laws.

Product images, technical specifications, and datasheets displayed on the Website may include content provided by the respective manufacturers. All manufacturer trademarks, brand names, and product names are the property of their respective owners and are used for identification purposes only. The Company's use of manufacturer content does not imply endorsement, partnership, or affiliation.

You may not reproduce, distribute, modify, or otherwise use any content from the Website without prior written consent from the Company, except for content that you need to use for legitimate business purposes related to your Orders (such as retaining datasheets for purchased Products).

10. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall first be resolved through good-faith negotiations between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, the dispute shall be submitted to arbitration in Shanghai, China, in accordance with the arbitration rules of the Shanghai International Economic and Trade Arbitration Commission (SHIAC). The arbitration shall be conducted in English, and the arbitral award shall be final and binding on both parties.

11. Changes to Terms

The Company reserves the right to modify or update these Terms at any time at its sole discretion. Changes will be effective immediately upon posting the revised Terms on the Website. The "Last updated" date at the top of this page indicates when the Terms were last revised. It is your responsibility to review these Terms periodically for changes. Your continued use of the Website after any changes constitutes acceptance of the revised Terms.
